Governing Law

This policy and any associated agreements shall be governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any legal disputes shall be resolved in the appropriate courts located in Martin County, Florida.

Refund Exceptions

Refunds or service credits may be granted in exceptional cases at the sole discretion of Everbloom Marketing. Granting a refund in one instance does not constitute a waiver of this policy for future cases.

Force Majeure

Everbloom Marketing shall not be held liable for delays or failure to fulfill obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, internet or hosting outages, cyberattacks, illness, labor shortages, or acts of government.

Non-Delivery and Delays

Everbloom Marketing will make every reasonable effort to meet agreed-upon timelines. However, delays caused by client inaction (such as unresponsiveness, missing materials, or delayed approvals) may impact project delivery dates. Everbloom is not responsible for delivery delays caused by client-side issues or external factors beyond our control.

Client Responsibilities

To ensure the success of each engagement, clients agree to provide timely feedback, access to necessary accounts and assets, and approvals as required. Failure to do so may delay project timelines or impact results.

No Guarantees

While Everbloom Marketing commits to applying industry best practices and expertise to every project, we do not guarantee specific outcomes, rankings, or returns from our services. Marketing performance is subject to many variables outside our control, including market conditions, algorithm changes, and client-side execution.

Chargebacks and Disputes

Clients agree to contact Everbloom Marketing to resolve any billing issues before initiating a chargeback with their bank or credit card provider. Unauthorized chargebacks will be treated as a breach of contract, and clients may be held responsible for related fees and collection costs.

Late Payments

Clients will automatically receive an invoice 10 days prior to their billing renewal date. A 10-day grace period is provided for payment. If payment is not received by the due date, a 5% late fee will be applied to the total invoiced amount. Everbloom reserves the right to pause or terminate services for accounts that remain unpaid beyond this grace period. Continued non-payment may result in service suspension, loss of access, or additional collection action.

Error Corrections and Revisions

We stand behind the quality of our work and offer reasonable revision windows based on the project scope. Revisions requested outside of the agreed-upon timeline or scope may incur additional charges. Everbloom does not guarantee indefinite revision rights after project delivery unless specified in the contract.

Third-Party Tools and Licensing

While Everbloom maintains agency licenses for various platforms and tools (e.g., Elementor Pro), all additional plugins, third-party software, or premium tools required for a client’s project are billable. These costs will be included in the client’s invoice. Licenses for third-party tools are transferable to the client once full payment has been received. Ongoing costs associated with third-party tools are the client’s responsibility unless otherwise specified in writing.

Project Cancellation

If a client chooses to terminate a project before completion, they will be invoiced for all work performed up to the cancellation date. Any remaining balance must be paid in full within 10 days of notice. All intellectual property created by Everbloom will remain the agency’s property until the account is paid in full.

Training, Webinars, and Workshops

Fees for training sessions, webinars, and workshops are non-refundable once scheduled or delivered. For live events, cancellations or rescheduling requests must be submitted in writing at least 72 hours in advance. Missed sessions or no-shows will not be eligible for a refund or credit. In the case of multi-session training or workshop series, access to replays or materials may be granted at Everbloom’s discretion, but no partial refunds will be issued for unattended portions.

All digital products, templates, or resources delivered as part of a training or workshop are non-refundable and for individual client use only unless otherwise licensed.

Consulting Services

Fees for one-on-one or team consulting sessions—whether strategic, technical, or operational—are non-refundable once scheduled. Cancellations or rescheduling requests must be submitted in writing at least 72 hours in advance of the scheduled session. Missed sessions or no-shows will not be eligible for a refund or credit. Any deliverables or follow-up materials provided as part of consulting are included at Everbloom’s discretion unless otherwise specified in the service agreement.

Hosting and Domain Services

Annual hosting fees are billed in advance and are non-refundable once paid. We do not issue refunds for unused time if a client chooses to move or discontinue hosting services before the term ends. To cancel hosting services, clients must submit a written request via email to accounting@everbloom.marketing at least 45 days prior to the next billing cycle. Unless canceled in advance, client credit cards or saved payment methods will be automatically charged on the renewal date. Clients are responsible for managing the transfer or termination of their domain(s), website files, and any related content.

Monthly Services

For recurring services such as marketing retainers or hosting, cancellation requests must be submitted via email to accounting@everbloom.marketing at least 45 days prior to the next billing cycle. Unless canceled in advance, clients’ saved payment methods will be automatically charged on the renewal date for the upcoming term. Clients are responsible for all charges incurred prior to the effective cancellation date, including any prorated services or outstanding balances.

Deposits and Payments

All project deposits are non-refundable, as they secure your place in our production schedule and cover initial administrative, strategic, and creative work. Once a project agreement has been paid and work has commenced, all payments are considered final and non-refundable. This includes any fees paid toward completed milestones, phases, or deliverables outlined in the project scope.

By entering into an agreement with Everbloom Marketing, the client authorizes us to charge any approved payment method on file for all active services, including project fees, retainers, and renewals.

Entire Agreement

These Terms, together with our Privacy Policy and any separate agreements you may enter into with us, constitute the entire agreement between you and Everbloom Marketing LLC concerning the use of the services and supersede any prior agreements, communications, or understandings, whether written or oral.

SMS Appointments & Alerts

  1. This campaign is designed to send appointment-related information—such as confirmation and reminder messages—to clients who have booked an appointment with Everbloom Marketing through our website and opted in to receive promotional and notification SMS messages.
  2. In addition to appointment updates, we will use this service to send invoices, invoice reminders, and general communication to our clients via SMS, provided they have given their consent.
  3. You can cancel the SMS service at any time. Simply text “STOP” to the shortcode. Upon sending “STOP,” we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.
  4. If you experience issues with the messaging program, reply with the keyword HELP for more assistance, or reach out directly to help@everbloom.marketing.
  5. Carriers are not liable for delayed or undelivered messages.
